Having served as a director since 2015, Zender’s resignation will bring his over seven-year tenure with Galaxy Gaming to a close, and leave the company’s Board one man down.
His vacancy, when it takes effect in just over two months’ time, will see Mark Lipparelli, Bryan W. Waters, Cheryl Kondra and Michael Gavin Isaacs become Galaxy Gaming’s four remaining directors.
However, pursuant to a cooperation agreement with Tice Brown, Galaxy Gaming has agreed to form a hiring committee consisting of two board members and one independent stockholder.
In the company’s own words, this committee will be created “for the purpose of identifying and unanimously recommending to the Board a qualified candidate to fill the vacancy that will be created upon the resignation of Bill Zender.”
When a suitable replacement is found, they will be appointed to the Board for a term expiring at Galaxy’s 2024 Annual Meeting of Stockholders.
Lipparelli, Chairman of Galaxy’s Board, bid Zender a fond farewell, saying: “Bill Zender is a legend in the casino table games business.
“He has provided invaluable advice to us and the company over his more than seven years as a member of the Board.
“We have made great progress over that time in positioning the company to pursue exciting new opportunities, and Bill has been a stalwart contributor to that progress.
“We thank him for his tremendous insights and expertise, and we wish him the best in his future endeavours.”
