Playtech transfers HappyBet operations to pferdewetten.de subsidiary

Playtech has announced the transfer of its HappyBet franchise operations in Germany to NetX Betting Ltd, a subsidiary of Frankfurt-listed operator pferdewetten.de AG.
The deal gives NetX the option to negotiate terms with franchise partners of the HappyBet network, pending regulatory approval.
As part of the transaction, pferdewetten.de will also take ownership of certain hardware associated with HappyBet’s German shops.
A transition period is now in effect to allow for franchise negotiations and for licensing procedures to be completed with relevant German authorities.

The move comes days after Playtech finalised the €2.3bn ($2.6bn) sale of its Italian business, Snaitech, to Flutter Entertainment. That sale marked a milestone in Playtech’s ongoing realignment toward B2B operations, with the company set to return €1.8bn to shareholders via a special dividend next month.
Playtech reported a solid start to 2025, with trading from January to April in line with expectations. Growth was driven primarily by Live Casino and Software-as-a-Service (SaaS) performance in markets such as the US and Mexico.
However, the company also acknowledged headwinds in Latin America, particularly due to ongoing regulatory changes in Brazil and a temporary VAT charge in Colombia.
In Germany, the HappyBet brand has operated retail betting shops under Playtech’s ownership since its acquisition of the business in 2021.
Today’s announcement formalises Playtech’s exit from that market as the company narrows its operational focus and continues to reduce its retail exposure across regulated European jurisdictions.
